Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Valleytainment Productions LLC ("Company," "we," "us," or "our") governing your access to and use of the Thrift Lens mobile application, website, and related services (collectively, the "Service").

By downloading, installing, accessing, or using Thrift Lens, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

2. Service Description

Thrift Lens is an AI-powered mobile application that provides the following services:

• Thrift Store Discovery: Location-based search and discovery of thrift stores, consignment shops, and resale stores in your area.
• Item Scanning & Pricing: AI-powered image recognition to identify items and provide estimated price ranges based on market data.
• Price Comparison: Comparison of prices across different thrift stores and marketplaces.
• Store Information: Access to store hours, contact information, reviews, and ratings.
• Personalization: Saved searches, favorite stores, wishlists, and personalized recommendations.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

3. Eligibility & Account Registration

3.1 Age Requirements

You must be at least 13 years old to use Thrift Lens. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. In some jurisdictions, the minimum age may be higher (e.g., 16 in the European Economic Area).

3.2 Account Registration

To access certain features of the Service, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Maintain the security of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. User Accounts & Responsibilities

4.1 Account Ownership

Your account is personal to you and may not be transferred, sold, or shared with others. You may not create multiple accounts or use another person's account without permission.

4.2 Account Termination by User

You may delete your account at any time through the app settings or by contacting us. Upon account deletion, your data will be deleted in accordance with our Privacy Policy, subject to legal retention requirements.

4.3 Account Suspension or Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Service or other users.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the rights of others, including intellectual property rights, privacy rights, or publicity rights.
• Transmit any content that is harmful, offensive, defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission.
• Attempt to gain unauthorized access to any portion of the Service or other accounts.
• Reverse engineer, decompile, or disassemble any portion of the Service.

6. AI & Machine Learning Services

6.1 AI-Powered Features

Thrift Lens uses artificial intelligence and machine learning to:

• Identify items from photographs you provide.
• Estimate price ranges based on market data, historical sales, and item condition.
• Provide personalized recommendations and search results.
• Improve service accuracy through continuous learning.

6.2 Accuracy & Limitations

Price Estimates Are Not Guarantees: All price estimates provided by Thrift Lens are approximations based on available data and AI analysis. Actual prices at thrift stores may vary significantly. Price estimates are provided for informational purposes only and should not be considered as definitive valuations.

• Price estimates may not reflect current market conditions or local pricing variations.
• Item identification may be inaccurate, especially for unique, rare, or damaged items.
• AI models are continuously improving but may make errors.
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated information.

6.3 Image Processing

When you use the scanning feature:

• You grant us a license to use, process, and analyze your images as described in our Privacy Policy.
• Images may be used to improve our AI models and service quality.
• You retain ownership of your images but grant us necessary rights to provide the Service.
• We do not claim ownership of your user-generated content.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by Valleytainment Productions LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of the Service, unless laws prohibit those restrictions or you have our written permission.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

7.3 Trademarks

"Thrift Lens," "Valleytainment," and related logos and marks are trademarks of Valleytainment Productions LLC. You may not use these marks without our prior written permission.

8. User Content & Submissions

8.1 User Content Ownership

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"), including photographs, reviews, comments, and other materials.

8.2 License to Use User Content

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with:

• Operating and providing the Service.
• Improving our AI models and service quality.
• Marketing and promotional purposes (with appropriate attribution).
• Any other purpose set forth in our Privacy Policy.

8.3 Content Standards

You represent and warrant that your User Content:

• Does not infringe any third-party rights, including copyright, trademark, privacy, or publicity rights.
• Is not defamatory, libelous, obscene, pornographic, or otherwise objectionable.
• Does not contain viruses, malware, or other harmful code.
• Complies with all applicable laws and regulations.

8.4 Content Removal

We reserve the right to remove, edit, or refuse to post any User Content that violates these Terms or that we determine, in our sole discretion, is objectionable or harmful to the Service or other users.

9. Pricing & Accuracy Disclaimers

9.1 Price Estimates

All price estimates provided by Thrift Lens are estimates only and are not guaranteed. Actual prices at thrift stores may differ significantly from our estimates due to:

• Local market conditions and regional pricing variations.
• Item condition, rarity, and demand.
• Store-specific pricing policies and discounts.
• Changes in market value over time.
• Limitations in available data and AI accuracy.

9.2 No Price Guarantees

We do not guarantee that items will be available at estimated prices, that stores will honor any prices, or that price estimates are accurate. You are solely responsible for verifying prices and making purchasing decisions.

9.3 Store Information

Store information, including hours, contact details, and availability, is provided by third parties and may be inaccurate or outdated. We do not guarantee the accuracy of store information and recommend verifying details directly with stores before visiting.

10. Prohibited Activities

You are expressly prohibited from:

• Commercial Use: Using the Service for commercial purposes, including reselling price estimates or store information, without our written permission.
• Data Scraping: Extracting, scraping, or harvesting data from the Service using automated tools.
• Reverse Engineering: Attempting to reverse engineer, decompile, or disassemble the Service or AI models.
• Interference: Interfering with or disrupting the Service, servers, or networks.
• Fraud: Using the Service to commit fraud, misrepresentation, or other illegal activities.
• Spam: Sending unsolicited communications or spam through the Service.
• Harmful Code: Introducing viruses, malware, or other harmful code to the Service.
• Unauthorized Access: Attempting to gain unauthorized access to the Service or other users' accounts.

Violation of these prohibitions may result in immediate termination of your account and legal action.

11. Fees & Payments

11.1 Free and Premium Features

Thrift Lens may offer both free and premium (paid) features. We reserve the right to modify, add, or remove features from free and premium tiers at any time.

11.2 Premium Subscriptions

If you purchase a premium subscription:

• Subscription fees are charged in advance on a recurring basis (monthly or annually).
• Fees are processed through third-party payment processors (Apple, Google, Stripe, etc.).
• All fees are non-refundable except as required by law or as stated in our refund policy.
• You are responsible for any taxes applicable to your purchase.

11.3 Auto-Renewal

Premium subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or the app store where you purchased it.

11.4 Price Changes

We reserve the right to change subscription fees at any time. Price changes will not affect your current subscription period but will apply to subsequent renewals.

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through the app settings or by contacting us. Upon termination, your access to the Service will cease immediately.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms or our Privacy Policy.
• You engage in fraudulent, illegal, or harmful activity.
• We are required to do so by law.
• We determine, in our sole discretion, that termination is necessary to protect the Service or other users.

12.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your account and associated data in accordance with our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

13. Disclaimers & Warranties

13.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

13.2 No Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• Defects will be corrected.
• The Service or servers are free of viruses or other harmful components.
• Price estimates, item identifications, or store information are accurate or reliable.
• The Service will meet your requirements or expectations.

13.3 Third-Party Content

The Service may contain links to third-party websites, services, or content. We do not endorse, control, or assume responsibility for any third-party content, privacy practices, or terms of service. Your interactions with third parties are solely between you and the third party.

14. Limitation of Liability

14.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALLEYTAINMENT PRODUCTIONS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from your use or inability to use the Service.
• Damages resulting from reliance on price estimates, item identifications, or store information.
• Damages resulting from unauthorized access to or alteration of your data.
• Damages resulting from third-party conduct or content.

14.2 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.

14.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Valleytainment Productions LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your User Content.
• Your violation of any applicable law or regulation.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@valleytainment.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

16.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, except as modified by this agreement.

• Arbitration will be conducted in Pittsburgh, Pennsylvania, United States.
• The arbitrator's decision will be final and binding.
• You waive your right to a jury trial and to participate in a class action lawsuit.

16.3 Exceptions

The following claims are not subject to arbitration:

• Claims for injunctive or equitable relief.
• Small claims court actions (claims under $10,000).
• Intellectual property disputes.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania.

If you are located outside the United States, you agree that you are responsible for compliance with local laws in your jurisdiction.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date.
• Sending an email notification to registered users (if changes are significant).
• Displaying an in-app notification when you next open the app.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
